EULA & Acceptable Use

Terms and guidelines for anyone using PixelAdmin—studio operators, brand portal users, and share link recipients.

1. Acceptance of Terms

By accessing or using the PixelAdmin platform (the "Service")—whether you log in via the web dashboard, the brand portal, the PixelAdmin Connect desktop application, the PixelAdmin Refine Photoshop plugin, or by opening a public share link—you agree to be bound by this End User License Agreement and Acceptable Use Policy (collectively, the "EULA"). If you do not agree to these terms, do not access, install, or use the Service or its components.

The Service is delivered as a unified solution comprising multiple surfaces: (i) web-based dashboards for studio operators and brand organizations, (ii) PixelAdmin Connect, an Electron-based desktop application for Windows and macOS providing tethering, local image processing, background syncing, and offline caching, (iii) PixelAdmin Refine, an Adobe Photoshop plugin that integrates Service workflows directly into the Photoshop environment, and (iv) public share links. Each surface may be subject to additional specific terms in Sections 4-6 below.

This EULA covers three categories of users. Where explicitly stated, certain provisions apply exclusively to specific categories:

  • Studio Operators: Employees, freelancers, and external partners of a studio or production customer who use the Service to plan, produce, edit, and deliver content (typically photographers, retouchers, producers, studio administrators, etc.).
  • Brand portal users: Users from a brand organization accessing the Service's customer portal. This category includes both invited free-tier users (created by a studio or brand administrator) and users on paid subscriptions (Pro, Business, and Enterprise) who have self-onboarded directly with PixelAdmin.
  • Share Link Recipients: Individuals without a user account who receive a public share link (typically formatted as share.pixeladmin.com/[token]), granting temporary access to view and potentially download specific deliverables. These users accept a streamlined click-through version of this EULA before viewing the content.

The legal relationship between PixelAdmin and the underlying customer organization is governed by the SaaS Agreement and the applicable subscription terms; this EULA governs your individual conduct as a user of the Service across all surfaces.

Acceptance occurs by (a) clicking an acceptance checkbox or "accept" button during signup, login, first launch of the desktop application, first activation of the plugin, or when opening a share link, (b) continued use after an updated EULA is made available, or (c) any other clearly manifested action that constitutes binding acceptance under general contract law. The current version of the EULA is always published at pixeladmin.com/legal/eula and embedded in the about dialog of each application.

2. License Grant

PixelAdmin grants you a personal, limited, non-exclusive, non-transferable, non-sublicensable, and revocable right to access and use the Service for internal business purposes on behalf of the customer organization you represent. This license applies worldwide, subject to applicable export control and sanctions laws. The scope depends on your user category and the surface you use:

  • Studio Operators: Access is strictly contingent on the studio customer (your employer or principal) maintaining an active PixelAdmin subscription. You may only use the Service in accordance with the roles and permissions assigned by your administrator, and solely for purposes covered by the customer's subscription. The license is tied to a named user and cannot be shared across multiple physical individuals.
  • Brand Portal Users (Invited/Free-Tier): When invited by a studio or brand administrator, you are granted free, functionally limited access to review, approve, and download deliverables aimed at your organization. This license is tied to the inviting organization's use of the Service and can be revoked at any time by the inviting party or PixelAdmin.
  • Brand Portal Users (Paid Pro/Business/Enterprise): When your organization subscribes directly to a paid PixelAdmin plan, you receive access to the features and usage limits specified in the applicable subscription terms. This license is contingent on timely payment and compliance with the SaaS Agreement.
  • Share Link Recipients: You are granted a strictly limited, temporary right to view and—if enabled by the sender—download the specific assets the link points to, for the purposes intended by the sender. This license terminates automatically when the link expires, is revoked by the sender, or in the event of misuse.

The license also includes the right to install and use PixelAdmin Connect (the desktop application) on workstations associated with your role as an authorized user, as well as the right to install and activate PixelAdmin Refine (the Photoshop plugin) in an Adobe Photoshop instance for which you hold a valid Adobe license. The number of concurrent installations may be limited by your administrator or the applicable subscription terms; typically, a named user may operate up to [three] active installations per surface unless otherwise agreed.

The license does not include the right to resell, sublicense, host, rent, lease, time-share, act as a service bureau, or otherwise make the Service commercially available to third parties. You may not remove or obscure any copyright notices, trademarks, or other proprietary markings within the Service or its components. PixelAdmin and its licensors reserve all rights not expressly granted in this EULA.

3. User Accounts and Security

Except for share link recipients, accessing the Service requires a personal user account. Studio operators typically access the Service via a corporate identity (single sign-on, where configured), while brand portal users log in through PixelAdmin's identity platform powered by Microsoft Entra External ID (Azure AD B2C). The following rules apply to all account holders:

  • Personal Account: Your account is strictly personal. You must not share your login credentials, session cookies, or access tokens with colleagues, clients, partners, or other third parties. Every user must have their own login. Account sharing is considered a material breach of this EULA.
  • Multi-Factor Authentication (MFA): Where PixelAdmin or your administrator requires multi-factor authentication, you must configure and maintain MFA on your account. You may not disable, bypass, or transfer your MFA factors to another person.
  • Passwords and Credentials: You are responsible for choosing a strong, unique password and protecting your credentials against loss and unauthorized access. Reusing passwords from other services is prohibited.
  • Security Incidents: If you suspect your account has been compromised or you detect unauthorized activity, you must notify your system administrator and PixelAdmin immediately at security@pixeladmin.com.
  • Logging and Monitoring: PixelAdmin logs authentication attempts, IP addresses, device metadata, and actions taken within the Service for operational, security, and troubleshooting purposes, in accordance with our Privacy Policy and data processing agreements.
  • Device Security: When using PixelAdmin Connect or PixelAdmin Refine, you are responsible for ensuring that the workstation running the application is protected by disk encryption, a current and patched operating system, active antivirus or endpoint protection, and an automatic screen lock. Locally cached images, sqlite databases, and credentials are only as secure as the device they reside on.
  • Revocation on Personnel Changes: When a user departs, changes roles, or otherwise no longer requires access, the administrator must immediately deactivate the user and revoke active sessions, refresh tokens, and device registrations. The departing user must uninstall PixelAdmin Connect and PixelAdmin Refine from their workstations and delete any local copies of customer Content.

4. Desktop Application (PixelAdmin Connect)

PixelAdmin Connect is an Electron-based desktop application for Windows and macOS that delivers tethering, imports and syncs images to the PixelAdmin platform, maintains a local image and metadata cache, and performs background transfers to Microsoft Azure Storage. The terms in this section apply in addition to the other provisions of this EULA.

  • Installation and Distribution: You may only install PixelAdmin Connect from official distribution channels designated by PixelAdmin (typically downloaded from pixeladmin.com or an internal deployment mechanism). Installers are digitally signed with PixelAdmin’s Authenticode certificate on Windows and notarized by Apple on macOS. You may not install modified, repackaged, or unsigned versions of the application.
  • Automatic Updates: PixelAdmin Connect automatically fetches, verifies, and installs updates via Squirrel-based update channels. By installing the application, you consent to it periodically contacting PixelAdmin’s update server, downloading signed update packages, and restarting to finalize the installation. Feature and maintenance updates can be deferred for up to [14] days by your administrator via policy; however, security updates flagged as critical may be forced if necessary to protect the Service or its users.
  • Local Cache and Offline Use: The application may store a local copy of your working directory, thumbnails, metadata, a session token cache, and an sqlite database with production data to support offline work. The cache is encrypted at-rest using the operating system's keychain and is wiped upon logout, account deactivation, or uninstallation. You may not copy cache contents out of the application’s data directory for purposes other than debugging at the direct request of PixelAdmin Support.
  • Third-Party Components and Open Source: PixelAdmin Connect contains open-source components, including Electron, Chromium, Node.js, sharp, better-sqlite3, and various npm packages. A complete list of these components, their respective licenses, and copyright notices is available in the application’s "About" dialog under "Third-Party Notices" and at pixeladmin.com/legal/oss-notices. The licenses for these components supersede this EULA to the extent they govern the use of the components.
  • Compatibility and System Requirements: PixelAdmin supports the operating system versions and hardware configurations specified in our current system requirements documentation. Use on unsupported configurations is at your own risk and may result in degraded performance, missing security updates, or the unavailability of certain features.
  • Desktop Application Risks: You acknowledge that desktop applications run outside PixelAdmin’s direct environment and are subject to risks not present in a web context, including local theft and loss scenarios, malware, compromised networks, and manual file system errors. You commit to taking reasonable precautions and accepting these risks as a condition of the license.

5. Photoshop Plugin (PixelAdmin Refine)

PixelAdmin Refine is an Adobe Photoshop plugin that integrates PixelAdmin’s workflows directly into the Photoshop environment (asset opening, hand-offs, Quality Assurance, metadata writing, etc.). The plugin runs inside your local Photoshop installation under your own Adobe license and is subject to Adobe’s own terms.

  • Relationship with Adobe: PixelAdmin is not affiliated with, sponsored by, or endorsed by Adobe Inc. Adobe® and Photoshop® are trademarks of Adobe Inc. Using PixelAdmin Refine requires you to hold a valid Adobe Creative Cloud or Photoshop license; PixelAdmin provides no Adobe licenses, software, or support for Adobe products, and PixelAdmin is not responsible for Adobe’s terms, updates, or conduct.
  • Distribution and Installation: The plugin is distributed as a package (CEP and/or UXP format), installed via an official PixelAdmin installer or via the Adobe Exchange / Creative Cloud Marketplace where available. You may only install the plugin in Photoshop instances you are authorized to configure, and only from the designated distribution channels.
  • Version Compatibility: The plugin is tested against the Photoshop versions listed in our compatibility matrix. Adobe may alter its plugin APIs at any time, and PixelAdmin does not guarantee uninterrupted operation on Photoshop versions outside the matrix or on beta/pre-release versions of Photoshop.
  • Local Data and Documents: The plugin may create temporary files, read and write to Photoshop's document model, and exchange data between your workstation and PixelAdmin’s service. The responsibility for saving work in Photoshop lies with you; the plugin does not replace Photoshop's native save functions, and PixelAdmin is not liable for the loss of open, unsaved Photoshop documents resulting from crashes in Photoshop, the operating system, or the plugin.
  • Prohibition on Bypassing Adobe's Terms: You may not use PixelAdmin Refine to bypass technical protection measures in Photoshop, automate usage in violation of Adobe’s terms, or distribute unlicensed content through the Adobe ecosystem.

6. Telemetry, Diagnostics, and Automatic Updates

PixelAdmin Connect, PixelAdmin Refine, and the web dashboards collect operational telemetry data to ensure stable operation, detect errors, and improve the Service. Telemetry is divided into three categories:

  • Strictly Necessary Data: Authentication, account and license validation, update checks, security events, and crash reports (crash dumps with stack traces, application versions, and OS versions). This data cannot be opted out of, as it is required to securely deliver the Service.
  • Operational Diagnostics: Anonymized performance metrics (startup time, memory usage, media sizes, throughput to Azure Storage), feature flag statuses, and error counters. Your administrator can configure this level across the organization.
  • Usage Analytics for Product Improvement: Aggregated and pseudonymized information about which features are used, navigation patterns, and workflows. You can opt out of usage analytics at any time in the application settings or on the web dashboard's profile page; the opt-out takes effect immediately for new sessions.

Telemetry is processed in accordance with our Privacy Policy and, where data constitutes personal data on behalf of the customer organization, the applicable Data Processing Agreement. We do not sell telemetry to third parties, nor do we use it for behavioral advertising. In rare cases, crash reports may contain fragments of filenames or paths; PixelAdmin routinely filters such data and does not retain it longer than necessary.

By installing or opening the desktop application or plugin for the first time, you consent to the applications contacting PixelAdmin’s servers for license and update validation, and to the downloading and installation of signed update packages as described in Section 4. Where you act as a data controller (e.g., regarding personal settings), you may exercise your GDPR rights by contacting privacy@pixeladmin.com.

7. Content and Responsibility

You warrant that you have the necessary rights to upload, edit, share, distribute, and otherwise process the images, product data, and other materials ("Content") you add to or manipulate within the Service. You are personally responsible for any actions taken under your user account. Furthermore, brand portal users are responsible for ensuring that the content uploaded to their organization's workspace (e.g., product shots, item data, and brand assets) is lawful and does not infringe on third-party rights.

8. AI Features and Use of AI Output

The Service includes AI-powered features, such as automated tagging, background removal, image suggestions, quality assurance, and generated metadata (collectively, "AI Output"). AI Output is provided as decision support, not as authoritative results. You remain responsible for reviewing, verifying, and approving AI Output before applying it to commercial deliverables, publishing it, or sharing it externally. PixelAdmin does not guarantee that AI Output is accurate, complete, or bias-free.

You must not use the AI features to:

  • Generate illegal, infringing, misleading, or harmful content, including sexualized content involving minors, hate speech, unlawful surveillance, or targeted manipulation of individuals.
  • Produce deepfakes or realistic synthetic representations of identifiable individuals without their documented consent, or create content that endangers a specific person's reputation.
  • Attempt to extract personal data, protected characteristics, or trade secrets from the models, or use the Service's output to train competing AI models.
  • Make decisions with significant legal or similar implications for natural persons based solely on AI Output (as per data protection rules on automated decision-making).

Where AI Output is marked, watermarked, or embedded with metadata indicating that the content is AI-generated or AI-modified (pursuant to transparency requirements in the EU AI Act), you must not remove, obscure, or manipulate these markers upon redistribution. Brand portal users and share link recipients agree to pass these markers on intact if the assets are published publicly.

10. Acceptable Use Policy and Confidentiality

By using the Service—regardless of your user category—you agree not to:

  • Bypass Confidentiality (Embargoed Assets): The Service frequently handles products and imagery that have not yet been published (pre-release/embargoed). Under no circumstances may you download, screenshot, share, or otherwise distribute Content from the platform outside of the approved workflows defined by your principal or the sender of a share link.
  • Uploading Third-Party Products and Data Without Rights: Brand portal users may only upload product imagery, item data, brand elements, and similar assets that their organization owns or holds a documented right to process. Uploading competitors’ product images, scraped catalog data, or other third-party materials without a valid license is prohibited.
  • Abusing Integrations and Distribution Channels: The Service’s integrations with PIM, ERP, e-commerce, and marketing platforms must not be used to push spam, misleading product information, or content that violates the receiving system’s terms. Brand portal users are responsible for ensuring that the material pushed via integrations is accurate and up to date.
  • Circumventing API Rate Limits: Circumventing rate limits, throttling, or quotas in the Service’s APIs by parallelizing accounts, rotating IP addresses, using fake user agents, or otherwise masking request patterns is prohibited. Needs for higher quotas must be agreed upon in writing with PixelAdmin.
  • Upload material that is illegal, harmful, threatening, abusive, harassing, or otherwise objectionable.
  • Infringe upon the intellectual property rights of others, including copyrights, trademarks, or patents.
  • Attempt to reverse-engineer, decompile, or otherwise uncover the source code of the Service.
  • Introduce viruses, worms, Trojan horses, or other malicious code to the Service.
  • Disrupt or compromise the integrity or performance of the Service.
  • Use automated scripts (bots, scrapers) to interact with the Service without explicit permission from PixelAdmin.

11. Reverse Engineering and Interoperability

You may not reverse-engineer, decompile, disassemble, translate, or otherwise attempt to derive the source code, underlying structure, ideas, or algorithms of the Service or its components, including PixelAdmin Connect and PixelAdmin Refine. Furthermore, you may not bypass technical protection measures, code signing, or license validation.

The prohibition above does not apply to the extent you are granted rights under mandatory EU law—specifically Articles 5 and 6 of Directive 2009/24/EC on the legal protection of computer programs (the Software Directive), as implemented in §§ 36 and 37 of the Danish Copyright Act—to observe, study, test the program's functionality, or decompile it to achieve interoperability with independently created programs. In such cases, you must first request the necessary interoperability information from PixelAdmin in writing at legal@pixeladmin.com; if we provide sufficient information within a reasonable timeframe, decompilation may not be performed. Information obtained through this exception may only be used for interoperability and not to develop, produce, or market a substantially similar product, or for any other act that infringes copyright.

Using the Service's public APIs, webhooks, and documented integrations constitutes an authorized form of interoperability and does not require decompilation. Enterprise-tier API access is subject to issued API keys, documented rate limits, and prohibitions against scraping or automating competing services via our infrastructure.

12. The PixelAdmin Trademark and Third-Party Marks

“PixelAdmin®”, “PixelAdmin Connect” and “PixelAdmin Refine” along with the associated logo are trademarks of PixelAdmin ApS, Falkoner Allé 90, 2000 Frederiksberg. This EULA grants you no right to use these marks in marketing, product names, domain names, social media usernames, or in any way that implies partnership or endorsement, beyond the nominative use necessary to objectively refer to the Service (e.g. “integrated with PixelAdmin”), provided the use is truthful, not misleading, and does not indicate origin to anyone other than PixelAdmin.

Third-party trademarks, including Adobe®, Photoshop®, Microsoft®, Azure®, Windows®, and macOS®, are the property of their respective owners and are used in this EULA solely for identification purposes. References to these marks do not imply any affiliation with, sponsorship by, or endorsement from the rights holders.

13. Relationship to Other Agreements

This EULA is one of several documents that collectively govern the use of PixelAdmin. Where multiple documents address the same subject matter, the following order of precedence applies, unless explicitly stated otherwise in the specific document:

  1. The SaaS Agreement: The primary commercial agreement between PixelAdmin and the customer organization. Governs subscription, payment, limitation of liability, termination, governing law, and the overall relationship between studio and brand.
  2. Subscription Terms: Tier-specific terms for the brand subscriptions (Free, Pro, Business, Enterprise), including features, usage limits, storage, and fair use.
  3. Data Processing Agreements (DPA): Governs the processing of personal data on behalf of the customer organization in accordance with the GDPR, including roles, security measures, sub-processors, and transfers.
  4. This EULA: Governs the behavior of the individual end user, the scope of the license, and acceptable use, including for brand portal users and share link recipients.
  5. Acceptable Use Policy (AUP): An independent document specifying prohibited actions and usage patterns within the Service across all user categories. Section 10 of this EULA serves as a summary; the full and extended AUP remains the authoritative source in case of conflict.

Conflict: In the event of a conflict between the documents, the higher-ranking document takes precedence over the lower-ranking one, provided that a specific provision prevails over a general provision concerning the same matter. Brand portal users should pay particular attention to the Subscription Terms, which contain feature and usage limits that may supplement or restrict the rights in this EULA.

14. License Termination and Uninstallation

Your license under this EULA automatically terminates if (i) the customer's underlying subscription is canceled or expires, (ii) your account is deactivated by your administrator or by PixelAdmin, (iii) you materially breach this EULA, or (iv) you voluntarily relinquish the license by logging out, deactivating the account, and uninstalling the relevant components. Furthermore, PixelAdmin may terminate the license with reasonable notice where objectively justified, including for security reasons or if a component is discontinued.

Upon termination of the license, you must (a) immediately cease all use of the Service, (b) uninstall PixelAdmin Connect and PixelAdmin Refine from all workstations, (c) delete or return local copies of the customer's Content, including cache files, exported images, SQLite databases, and log files, and (d) hand over any physical media received by PixelAdmin to the customer or—by agreement—securely destroy them. PixelAdmin deletes application-specific cache data on the server side within [30] days of termination, per the applicable data processing agreement; local data is deleted by the user as described above.

Provisions that by their nature should survive termination—including license limitations, intellectual property rights, confidentiality, limitations of liability, and this section—will remain in full force and effect.

15. Consequences of Misuse

Violation of this EULA may result in the immediate suspension or permanent deactivation of your user account, revocation of share links, and termination of access to the customer portal without prior notice. Your employer, principal, or the brand organization you represent will typically be notified of the incident. In the event of illegal activities, PixelAdmin will cooperate with the relevant authorities and may seek damages for losses caused by the misuse.

16. Copyright Infringement Policy (DMCA)

We respect the intellectual property rights of others. If you believe that material uploaded by a user and made available on the Service infringes upon a copyright you own or control, please notify us immediately using the contact information below.

Please note that under applicable law, you may be held liable for damages if you make material misrepresentations in such a notification.
